In a technically complex case, the California Supreme Court has ruled in
favor of a whistleblower case brought against a foundation's board.
Victoria v. Turner involves the The Conrad Prebys Foundation
<http://calnp.memberclicks.net/message2/link/79cec23d-5d28-43d9-8c6c-cead02108051/2>,
a San Diego foundation with $1.3 billion in assets.

CalNonprofits filed an amicus brief in support of the plaintiff, and we are
glad to see this landmark ruling.

Briefly, a member of the foundation's board of trustees filed a lawsuit to
keep the foundation from making a significant settlement with the son of
the deceased founder, stating that all the funds should be kept at the
foundation and not used to benefit an individual. The board then ousted her
from the board. A lower court held that since she was no longer on the
board, her suit could not continue. But two weeks ago, in a unanimous 7-0
opinion, the Supreme Court of California reversed that ruling, saying that
they did not want to "incentivize" boards to remove board members as a way
of ending litigation against them.

There were several lenses through which to see this case, including the
authority of the board as an entity, whether donor intent applies, and
accountability to the public. We determined accountability is crucial to
our work defending and supporting nonprofits – and foundations are
nonprofits. Private (family) foundations operate with almost no oversight
or accountability other than to their own boards. We do not want to remove
one of the few ways – albeit a rarely available way – for such a foundation
to be held accountable.

We were honored to work with Jill Horwitz and Nancy McLaughlin (both
attorneys and law professors), Cooley LLP, and our informal circle of
nonprofit law friends on this case.

community leaders statewide, and led by CalNonprofits (a long-time client)
– includes seven bills changing contracting for nonprofits. Six of those
